By accessing or using the ivory-ravine electronic signature platform, you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.
ivory-ravine provides electronic signature solutions and document management services for businesses. Our platform enables users to create, send, sign, and manage legally binding electronic signatures and documents in compliance with applicable regulations including eIDAS.
To use our services, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.
You represent that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:
Access to certain features requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis depending on the plan you select. All fees are exclusive of applicable taxes unless otherwise stated.
You authorize us to charge your designated payment method for all fees incurred. Subscriptions automatically renew unless cancelled before the renewal date. We reserve the right to modify pricing with 30 days' notice to existing subscribers.
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. We do not provide refunds for partial subscription periods except where required by law or at our sole discretion.
The ivory-ravine platform, including all software, content, trademarks, and intellectual property, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with these terms.
You retain all rights to the documents and content you upload to our platform. By using our services, you grant us a limited license to process, store, and transmit your content solely to provide the services you requested.
We process personal data in accordance with our Privacy Policy and applicable data protection laws including GDPR. By using our services, you consent to such processing and warrant that all data you provide is accurate.
Electronic signatures created through our platform are legally binding under the eIDAS Regulation and other applicable laws. However, you are responsible for ensuring that electronic signatures are appropriate and legally valid for your specific use case. We recommend consulting legal counsel for documents with significant legal implications.
We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform scheduled maintenance and updates that temporarily affect service availability. We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice.
To the maximum extent permitted by law, ivory-ravine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use or inability to use our services.
Our total liability for any claims arising from or related to these terms or our services shall not exceed the amount you paid to us in the twelve months preceding the claim.
You agree to indemnify and hold harmless ivory-ravine and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services, your violation of these terms, or your infringement of any third-party rights.
We may terminate or suspend your account and access to our services immediately, without prior notice, for any breach of these Terms of Use. Upon termination, your right to use the services will immediately cease. You may also terminate your account at any time by contacting us.
Following termination, we will retain your data in accordance with our data retention policies and applicable legal requirements. You may request export of your documents before termination.
These terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Ireland.
We reserve the right to modify these Terms of Use at any time. We will notify users of material changes via email or through prominent notice on our platform at least 30 days before the changes take effect. Your continued use of our services after changes become effective constitutes acceptance of the modified terms.
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
These Terms of Use, together with our Privacy Policy and any additional terms specific to certain services, constitute the entire agreement between you and ivory-ravine regarding the use of our services.
